Newmarket, ON – AirBoss of America Corp. (TSX: BOS) (the “Company” or “AirBoss”) today announced that it has received approval by the Committee on Foreign Investment in the United States (“CFIUS”) to close the previously announced merger of its AirBoss Defense business and other operations in Acton Vale, Quebec with Critical Solutions International, Inc (“CSI”). In addition, the Company announced that the outside closing date for the transaction has been extended to January 1, 2020, by mutual agreement.

“We expect the ultimate creation of the AirBoss Defense Group will offer us the best opportunity to diversify and grow the defense business in both the nearer and longer-term,” said Chris Bitsakakis, President and Chief Operating Officer of AirBoss. “We intend to focus on both organic growth opportunities, aggressively marketing the combined group’s suite of existing products, as well as potential complementary acquisitions.”

Both AirBoss and CSI remain committed to closing in a timely manner now that CFIUS approval has been obtained. Assuming the satisfaction or waiver of the remaining customary closing conditions, the proposed transaction is now expected to close during the fourth quarter of 2019.
